“Official Contest Rules”

“The WorldSingsTM World’s Best Song” Contest (“Contest”) is an international song competition for the “World’s Best Song”, where Artists, Group(s), Band(s) from all over the world and their authorized representatives (manager(s), agent(s), record label, parent(s), legal guardian(s)) can submit their original song(s)-music video(s), photo(s), biographies, to WorldSings.com, (“WorldSings”WorldSings, LLC.) through their link(s) and fill out the Entry Form. WorldSings, LLC reserves the rights at its sole discretion, to select a maximum of thirty songs that will participate at “WorldSingsTM World’s Best Song Contest -Live Concert” in Los Angeles 2016. Artists, groups, bands and their representatives are required to read and accept these Contest Rules, WorldSings’ Privacy Policy, and the Terms of Use Agreement (“Agreement”) which is incorporated herein by reference and all definitions used in the Agreement are incorporated herein by reference. Artists, Groups and Bands who entered and original song(s) to compete in the Contest are referred to herein as a “Contestants”.

Eligibility

This Contest is open to any person, fourteen (14) years of age or older, signed or unsigned music Artists, Groups, Bands from any part of the world. All Contestants are responsible for insuring their submission is in compliance with the legal requirements of their country, Contestants from the United States must also comply with the laws of the state in which they reside (residents of the District of Columbia shall comply with local DC laws) pertaining to contests. WorldSings reserves the right to disqualify any Contestant that violates any national, state or local law or standard and the Terms of Use, Privacy Policy, Contest Rules and other pertinent rules of the World’s Best Song Contest. There is no fee or charge to become a Contestant and submit song(s)–music video(s), photo(s) and biography. Employees, officers, managers of WorldSings, LLC, its subsidiaries and its affiliates, are not eligible to enter the Contest.

How to Enter

All Contestants must 1) Indicate that, by submitting the World’s Best Sing Contest’s Entry Form and by submitting their link(s) with their song(s)-music video(s), photo(s), biographies, they accept the Terms of Use, Contest Rules and Privacy Policy. 2) To enter the Contest, Contestants (Group(s), Band(s) or their authorized representatives must Download the World’s Best Song Contests’ Entry Form, fill it out and email back to contest@worldsings.com 3) submit link(s) with your song(s)-music video(s) of the Contestant(s) performing an original song(s), and submit link(s) with your biography, photo(s) to contest@worldsings.com. There is no limit on the number of Entries per Contestant. Once you linked a song(s) for competition it cannot be changed. Entering, sending your World’s Best Song Contests’ Entry Form, link(s) with your song(s)-music video(s), photo(s), biography, does not insure the right and/or you will be selected to take part in the Contest. WorldSings is not responsible for lost date, technical issues with the World’s Best Song Contests’ Entry Form, link(s) or any technical failure related to the World’s Best Song Contests’ Entry Form or link’s process.

Entry Period

The deadline for submission is January 31, 2016

Format and Content of Entries

Each Entry must consist of an original video recording of a single original song.

Entry must contain original lyrics and melody and must own or have a written permission from the owners to use such material (lyric-melody)

Purely instrumental music that does not contain any lyrics will not qualify for entry in the contest. Purely song(s) with lyrics that does not contain melody will not qualify for the entry in the contest. Lyrics may be sung in any language.

WorldSings, LLC reserve the right, at its sole discretion, to select a maximum of thirty (30) songs to participate in the World’s Best Song Contest.

WorldSings, LLC reserves the rights, at its sole discretion, to invite and allow Artists, Groups and Bands to participate in The World’s Best Song Contest.

Live Concert-World’s Best Song Contest will be held two (2) days, Semi-Final and A Grand-Final.

Performances at the Live Concert-World’s Best Song Contest will be judged solely by a selected five judge panel, as determined by WorldSings in its sole discretion.
Top twenty (20) songs from the Semi-Final will take part in the Grand Final and compete for The World’s Best Song.

In the Grand Final ranking of the songs (Contestants) will be determined by the judges’ scores from first to last and the top ranked song (Finalist) will win The World’s Best Song.

In the event of a tie between two or more songs (Contestants), in the Semi-Final or the Grand Final at the Live Concert, Contestants will perform one more time and the panel of judges will vote to determine the winner. If in case, still, there is a tie between two or more songs (Contestants), they must toss a coin to determine the winner.

Artists shall perform live on stage, accompanied by a recorded backup-track which contains no vocal(s) of any kind or any vocal imitations.

During the World’s Best Songs Contest Artists are not permitted to use lyrics, speeches, materials, or any activity that promotes racism, violent, hatred, nudity, pornography, harassment, violates any intellectual property rights, trademark(s), promoting any companies, product(s), brand(s), organization(s), institution(s), political cause, and also within any official World’s Best Song Contest premises (Parking Lot, Back Stage, Dressing Room(s), Press Room, etc.) Violating of this rule may result in disqualification of the Artists.

The winner of the World’s Best Song will be given a trophy.

Royalties

In the event that WorldSings produces and distributes a partial or complete recording of the Live Concert-World’s Best Song Contest, through Live TV Broadcasts or TV Taped, Live Streaming, Radio, DVD, worldwide, then Contestants, Copyright Owners will be entitled to royalty from net sales thereof, subject to the Terms of the Agreement executed between the parties prior to the Live Concert.
Contestants and Copyright Owners will be entirely responsible for any taxes related to the receipt of the royalties.

Notification to the Contestants (Artists, Groups, Bands, and their Representatives)

WorldSings will be notifying the Contestants who are going to be selected to participate and compete at Live Concert-World’s Best Song Contest by any particular means including by telephone, mail and/or email, in WorldSings sole discretion. Contestants will be required to sign and execute appropriate documents related to the participation in the Contest and return them to the WorldSings within five (5) business days of notification. Failure to timely remit such executed documents will result in forfeiture of such Contestants’ eligibility as a Contestant. Contestants are advised to have legal counsel review the documentation on their behalf.

Entrant Responsibility

Contestants are entirely responsible for all entry-related cost, including, but not limited to, recording, equipment and production costs of their Entries as well as travel and accommodation costs in connection with participation in the Live Concert-World’s Best Song Contest. WorldSings will provide food and beverages during the rehearsals, Semi-Final and the Grand Final.

Representations and Warranties

Contestants must possess the exclusive rights to each Entry, song(s), photo(s), biographies), and (jointly and severally, if a group or band), or their authorized representatives (manager(s), agent(s), record label(s), publicist(s), parent(s), legal guardian(s)) represent and warrants that owns all copyrights, trademarks, publicity rights and any other relevant proprietary rights related to its Entry, song(s)-music video(s), photo(s), biography and are responsible for having obtained any necessary permission relating to subject/subject matter. Entry, song(s)-music video(s), photo(s), biography must not violate any applicable laws in any country worldwide and USA and/or must not contain any unauthorized material Including, but not limited to lyrics, melody, music- video(s). WorldSings will request in a reasonable time from Contestants or their authorized representatives copyrighted material, documents for the Entry/Entries, song(s), lyrics-melody to be send to WorldSings. If you are not able to provide, in a reasonable time, the required documents, copyrights, WorldSings reserved the right, in its sole discretion, to disqualify you from the Contest. Also, Contestants and their authorized representatives, warrant that will not acquire any trademarks rights, trade names, copyrights, logos or other intellectual properties of WorldSings, LLC. WorldSings, LLC reserved the right at its sole discretion to protect the trademarks, trade names, copyrights, logos or other intellectual property against illegal use, infringement, to use them to gain financial, material, commercial benefits. WorldSings, LLC will not be responsible for any claim or complaints against infringement of rights or damages from third parties relating to the subject/subject matter of entries, and the Contestants (jointly and severally if a group or band), or their authorized representatives (manager(s), agent(s), record label(s), publicist(s), parent(s), legal guardian(s) agrees to indemnify, defend and hold WorldSings, LLC its officers, directors, managers, employees, agents, shareholders, attorneys, respective advertising and promotional partners, judges,and their estate and /or their family members, as well as YouTube, Facebook, Twitter, Instagram, Google+, and/or any other web sites, harmless from all damages, claim, penalties, liabilities, action, costs and expenses attributed to a breach of the forgoing in such cases.

Live Concert Recording License

By agreeing to participate in the Live Concert Competition for the World’s Best Song, all Contestants (Artists, Group(s), Band(s) and their authorized representatives, hereby grant to WorldSings, throughout the Universe, an, irrevocable, perpetual, exclusive, transferable, assignable, royalty-free fully paid license (with the right to sub-license through multiple tiers) to produce, use, copy, modify, publicly perform, publicly display, transmit, televise, reproduce, reformulate, excerpt (in whole or in part) and distribute by rental, lease, sale or other transfer of ownership (collectively “Exploit”), a recording of the Live Concert for the World’s Best Song Contest (the “Recording”), in whole or part, in any media format and through any media channels now know or hereafter devised, for any purpose including commercial, advertising, or otherwise, on or in connection with the WorldSings and the promotion thereof, and to prepare derivative works of, or incorporate into other works and to grant and authorize sub-licenses of the Recording. Such license is inclusive of all rights without obtaining the further permission of any Contestants, Artist(s), Group(s), Band(s), authorized representatives, and without offering any further compensation in any form so that no other license is required to be obtained by WorldSings in order to fully Exploit the Recording without limitation, including all copyrights, synchronization rights, and publicly rights including rights to use the Contestants’ name, likeness, image, voice and photograph. Contestants, Artist(s), Group(s), Band(s) and their authorized representatives retain all ownership rights in their Entry, song(s)- music video(s), photo(s), biographies and continue to have the rights to use their song(s)-music video(s), photo(s), biography in any manner of their choosing.

Live Concert-World’s Best Song Contest Revenues

WorldSings will be donating a portion of the revenues from the Live Concert-World’s Best Song Contest and the Recording, to charitable organizations worldwide of its choosing in the amount of which shall be determined in their sole discretion.

Disclaimers

WorldSings reserve the right to rule on any issue not addressed in these Contest Rules, in its sole and absolute discretion, without rights of appeal or claim by the Contestants, Artist(s), Group(s), Band(s) or their authorized representatives. Contestants, Artist(s), Group(s), Band(s) and their authorized representatives hereby agree that any decision made by WorlSings, LLC shall be absolute and conclusive. Contestants, Artist(s), Group(s), Band(s)) and their authorized representatives that do not agree with the Contest Rules, Terms of Use, Privacy Policy and/or decision made by WorldSings have a right to withdraw their Entry song(s)-music video(s), photo(s), biography from the Contest as its sole and exclusive remedy. In the event that the efficiency, security, selection procedure, fairness of the contest or any related operations are deemed to have been compromised by forces beyond the control of WorldSings, including, but not limited to: computer network or other technical malfunction, computer virus infections, unauthorized computer access, than the receipt or acceptance of some or all Entry, song(s)-music video(s), photo(s), biographies via the internet may be postponed or discontinued. WorldSings reserves the right to take any and all appropriate action in response to any attempts by Contestants, Artist(s), Group(s), Band(s) their authorized representatives and/or any person/s to subvert or distort the submission process, the contest and winner selection process, including by pursuit of appropriate legal action.

Cancellation Policy

WorldSings reserve the right, at its sole discretion, to disqualify any Contestant, Artist(s), Group(s), Band(s) for any reason (or no reason at all) including violation of any of the Contest Rules or for violation of any terms of the Terms of Use Agreement and/or violation of the eligibility requirements. Disqualified Contestants will not be entitled to any refund.

WorldSings reserves the right, at its sole discretion, to reschedule, terminate or suspend any portion of the concert or the contest, cancel the concert or the contest at any time, including prior to or after the commencement of the Live Concert-World’s Best Song Contest, for any reason (or no reason at all) at their absolute discretion, including but not limited to technical, administrative, production, or operational difficulties or malfunctions. In the event of rescheduling or terminating or suspending any portion of the Live Concert-World’s Best Song Contest and/or cancellation of the concert or the contest, WorldSings is not required to and will not provide any prior warning. WorldSings will inform Contestants, Artist(s), Group(s), Band(s)) and their authorized representatives of rescheduling, or terminating, or suspending any portion of the Live Concert-World’s Best Song Contest and will informed them of the cancellation of the concert or the contest (Live Concert-World’s Best Song Contest).
